Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between Storkeel AI Inc. ("Storkeel AI", "we") and the entity or individual accessing the platform ("you") — including facility owners, third-party operators, property managers, fund managers, and syndicators.

By creating an account, connecting a Property Management System, or otherwise using the platform, you accept these Terms on behalf of yourself and any entity you represent, and you confirm you have authority to do so. If you do not agree, do not use the platform.

2. Description of Service

Storkeel AI provides autonomous operational and financial intelligence software for self-storage facilities. The platform connects to third-party Property Management Systems ("PMS") — including 6Storage, SiteLink, StorEdge, and Tenant Inc. — to read unit, lease, and ledger state and to execute operational actions you authorize.

• Operational automationSMS debt negotiation, voice-note maintenance workflows, autonomous voice front desk, and margin-leak monitoring.
• Financial intelligenceLive NOI and cash-flow reporting, DSCR covenant monitoring, and portfolio-level dashboards.
• Yield toolingDynamic street-rate recommendations and pricing rules applied within the limits you configure.

We may modify, add, or retire features over time. Material reductions in functionality will be communicated in advance where practicable.

3. Account Responsibilities & API Keys

You are responsible for maintaining valid PMS API credentials and for granting the permission scopes required for the features you enable. Insufficient or revoked scopes may cause agents to fail or partially execute, and Storkeel AI is not responsible for outcomes resulting from credential misconfiguration.

• Credential accuracyKeep API keys, tokens, bank connections, and telephony numbers current and authorized for the facilities you manage.
• Access controlSafeguard user logins, provision team members appropriately, and notify us promptly of any suspected unauthorized access.
• Lawful authorityYou represent that you have the right to connect each facility's systems and to contact its tenants on the owner's behalf.

4. Autonomous Execution Authorization

Enabling an autonomous feature constitutes your express authorization for Storkeel AI to act on behalf of the facility within the guardrails you define. This includes, without limitation:

• SMS debt negotiationSending collections messaging and agreeing to payment arrangements within the discount, cadence, and balance thresholds you set.
• Dynamic pricingAdjusting street rates and existing-tenant rate changes within your configured floors, ceilings, and change frequency.
• Voice front deskAnswering inbound calls, quoting availability, and recording call outcomes.
• PMS write-backsCreating tickets, updating unit status, applying fees, and recording payments in the connected PMS.

You are responsible for reviewing and maintaining your guardrail configuration. You may pause or disable any autonomous feature at any time; actions already initiated before a pause may complete.

5. Liability & Disclaimers

The platform is provided on an "as is" and "as available" basis. Storkeel AI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

• Third-party PMS and vendor outagesWe are not liable for downtime, data errors, rate limits, or API changes originating from your PMS, telephony, banking, or accounting providers.
• Landlord-tenant and collections complianceYou remain the responsible party for compliance with applicable landlord-tenant, lien, collections, and telecommunications laws in each jurisdiction where you operate. Our tooling supports compliance but does not constitute legal advice.
• Pricing and financial outputsStreet-rate recommendations, NOI, DSCR, and valuation figures are estimates generated from available data and are not guarantees of revenue, occupancy, or asset value.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and Storkeel AI's aggregate liability arising out of these Terms will not exceed the fees you paid in the twelve months preceding the claim.

6. Subscription & Payment Terms

• Billing cyclesSubscriptions are billed in advance on a monthly or annual cycle, based on contracted unit count or plan tier, and renew automatically until cancelled.
• Usage-based chargesTelephony, messaging, and other pass-through usage may be billed in arrears at the rates shown in your plan.
• CancellationYou may cancel at any time from your account. Cancellation takes effect at the end of the current billing period; autonomous agents stop at that time.
• RefundsFees are non-refundable except where required by law or where we fail to deliver materially contracted functionality. Annual plans cancelled mid-term are not prorated unless stated in an executed order form.
• Late payment & suspensionWe may suspend access for accounts more than fifteen days past due after written notice.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, before a single arbitrator. Each party waives any right to a jury trial and to participate in a class or representative action. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
